1. Acceptance of Terms

By accessing or using InsureWise Agency Management System ("Service"), operated by InsureWise Systems LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

InsureWise provides a cloud-based agency management system designed for insurance agencies. The Service includes client management, policy tracking, commission management, billing, reporting, document management, and related tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Workspace and Multi-Tenant Usage

Each subscriber receives a dedicated workspace within the platform. Data within your workspace is logically isolated from other subscribers. You are responsible for managing user access and permissions within your workspace. The workspace administrator is responsible for ensuring that only authorized personnel have access to sensitive data.

5. Data Ownership and Privacy

You retain full ownership of all data you enter into the Service ("Your Data"). We do not claim any intellectual property rights over Your Data. We will not access, use, or share Your Data except as necessary to provide the Service, comply with law, or as described in our Privacy Policy. You may export Your Data at any time through the data export feature.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Resell, sublicense, or redistribute the Service without written authorization
• Use automated tools to scrape or extract data from the Service

7. Subscription and Payment

Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected during registration. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.

8. Service Level and Availability

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is the intellectual property of InsureWise Systems LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription period. This license does not include the right to modify, reverse-engineer, or create derivative works of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, InsureWise Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless InsureWise Systems LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the subscription with 30 days' written notice. Upon termination, you will have 30 days to export Your Data before it is permanently deleted. We may terminate your account immediately if you materially breach these terms. Sections regarding data ownership, limitation of liability, and indemnification survive termination.

13. Modifications to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts located in Dallas County, Texas.
